Our Client is seeking a Project Finance-focused Attorney to support its growing renewable energy portfolio. This role is ideal for a mid-level attorney (approx. 5+ years of experience) who has strong grounding in project finance, tax equity, and debt financing—particularly within the solar or broader renewable energy sector.
You will lead and manage project finance deal flow, coordinate and direct outside counsel, and work cross-functionally with internal stakeholders across development, engineering, finance, and executive teams. While you won’t be drafting transaction documents from scratch, you must understand tax equity and debt financing structures well enough to manage deliverables, oversee legal processes, and drive deals to completion.

Serve as the primary internal legal lead on project finance transactions, including tax equity, development loans, equipment loans, and other debt facilities.
Manage day-to-day deal execution: coordinate internal stakeholders, interface with investors/lenders, track deliverables, and ensure smooth closing processes.
Oversee and direct external project finance and tax equity counsel.
Review and analyze transaction structures and key documents; identify risks, issues, and mitigation strategies.
Maintain an organized legal process for multiple deals in various stages of development.
Collaborate with Development, Construction, Engineering, and Finance teams to ensure legal and commercial alignment.
Participate in development meetings; support the management of legal trackers and coordinate work going to outside counsel.
Support the negotiation and periodic update of O&M and EPC agreements, relying on established templates and external counsel support.
Assist with warranty matters, dispute resolution, and litigation management as needed.
Provide issue-spotting and legal guidance on general corporate matters as bandwidth permits.
Engage in companywide initiatives related to new legislation and regulatory opportunities (e.g., IRA incentives, DOE programs, adders, safe harbor strategies).
Read and interpret primary legal/regulatory materials to identify opportunities and support strategic positioning with government agencies.
Serve as part of cross-functional stakeholder groups assessing new policy, monetization structures, or strategic changes.
Work within a highly collaborative legal function with broad access to the organization.
Take on overflow legal work during slower deal periods, allowing for broader in-house exposure.
Build the skillset and organizational context needed for future progression into a senior counsel or general counsel track.
J.D. and active bar membership (any U.S. state).
~5+ years of relevant legal experience, ideally including time at a law firm.
Strong background in project finance, with specific experience in tax equity and/or renewable energy financing.
Experience managing—or performing—day-to-day deal work, including diligence, checklists, and coordination of deliverables.
Ability to manage multiple transactions simultaneously and work effectively with cross-functional teams.
Strong analytical and communication skills; able to translate complex legal concepts into practical guidance.
Experience in distributed generation or utility-scale solar.
Exposure to development transactions (site control, permitting, title matters).
Experience interacting with federal agencies or interpreting new energy legislation.
Background in M&A is beneficial (not required) given the skillset in managing complexity and cross-functional impacts.
Comfort working with and managing outside counsel on a wide range of matters.
