Position Overview
Our client is seeking an Associate General Counsel to support the development, construction, and operation of large-scale power and digital infrastructure campuses. This individual will work closely with operations, asset management, and corporate finance teams to support the operating portfolio, oversee compliance, assist with financing activities, and help drive efficiency within the legal function.
This role reports directly to the General Counsel and will oversee paralegal support.
Key Responsibilities
Serve as primary legal advisor to asset management and operations teams across the operating portfolio, including regulatory compliance matters (FERC, NERC, and related frameworks)
Manage legal aspects of operational disputes, insurance claims, warranty claims, and contract amendments or waivers
Oversee post-closing obligations under project-level agreements and financing documents, including project and corporate compliance
Support capital markets and treasury teams on construction draws and tax equity fundings
Lead legal aspects of portfolio-level and corporate financing transactions and coordinate with tax, accounting, and treasury on ongoing compliance and reporting
Oversee entity management, including formation, governance documentation, and good standing requirements
Enhance and manage legal department infrastructure, including matter management, contract management, and internal policies
What We’re Looking For
Experience supporting operating assets in the energy or infrastructure sector, with knowledge of key project contracts and regulatory requirements
Experience with project finance and/or corporate finance transactions, particularly within power generation or infrastructure
Experience building or managing legal operations functions, compliance programs, or internal legal infrastructure
Comfort operating within a small legal team and collaborating cross-functionally on a broad range of matters
Minimum Qualifications
7–10 years of relevant experience in the energy sector; in-house experience preferred
JD from an accredited law school and active license to practice in a U.S. state
Strong written and verbal communication skills, with the ability to convey complex matters clearly and concisely
Ability to manage multiple priorities in a fast-paced environment
Ability to work in a hybrid model with a minimum of three days per week in the office
Willingness to travel up to 10%
Authorization to work in the United States without employer sponsorship
